NURTURE+ AFFILIATE TERMS AND CONDITIONS

Please ensure you read these Terms and Conditions carefully before applying to join the CLOUD NINE Affiliate Scheme. By choosing to join, the Affiliate agrees to comply with and be bound by these Terms and Conditions, which form a legally binding agreement between the Affiliate and CLOUD NINE (“CLOUD NINE”, “we”, “us”). 

1.1 The CLOUD NINE Affiliate Scheme (“Scheme”) enables approved professional hair stylists (“Affiliates”) to introduce customers to CLOUD NINE by providing them with a physical discount card containing a unique promotional code (“Affiliate Code”). 

1.2 Where a customer uses an Affiliate Code to place a qualifying order directly with CLOUD NINE, the Affiliate may earn a fixed commission, subject to these Terms and Conditions. 

1.3 Affiliates have no authority to bind CLOUD NINE, set pricing, offer additional discounts, or make representations on CLOUD NINE’s behalf. All contracts for the sale of products are concluded directly between CLOUD NINE and the end customer. 

2.1 CLOUD NINE reserves the right to approve or reject any application at their discretion. Nothing in this agreement constitutes a partnership, joint venture or employment relationship between the parties.  

2.2 Affiliates must be aged 18 or over and operate as professional hair stylists. CLOUD NINE reserves the right to request reasonable evidence of professional status at any time. 

3.1 Affiliates will earn a fixed commission of £20 per qualifying order.  

3.2 For the purpose of this agreement ‘Qualifying orders’ means a purchase of qualifying CLOUD NINE electrical products made directly from CLOUD NINE using a valid Affiliate Code. 

3.3 Any return, cancellation or refund of a Qualifying Order will result in the related commission being cancelled or clawed back. 

3.4 Commission rates are set at CLOUD NINEs discretion and may be varied at any time. These changes will be communicated via email or the Affiliates dashboard.  

3.5 No commission is payable on personal purchases made by an Affiliate via their own Affiliate Code. 

4.1 Affiliates must provide accurate, complete and up-to-date registration details, any misuse of the programme, including providing false information may result in immediate termination.  

4.2 Affiliates are responsible for maintaining the confidentiality of their login credentials.  

4.3 Each account registered must only have one account owner. 

4.4 CLOUD NINE reserves the right to suspend an Affiliate account and/or withhold commission payments while it investigates any suspected breach of these Terms or misuse of the Scheme.  

As the Affiliate you must refrain from any of the following during the term: 

5.1 Making any derogatory statements about CLOUD NINE and/or CLOUD NINE products.  

5.2 Re-selling or distributing any CLOUD NINE products, including those received free of charge as gifts or for commercial purposes. 

5.3 Promoting CLOUD NINE products, the CLOUD NINE brand or the Affiliate programme via any paid media channels, including paid social media advertising, sponsored posts, pay-per-click advertising or influencer marketing 

5.4 Engaging in any fraudulent transactions, as reasonably determined by CLOUD NINE. 

5.5 Present themselves as an employee, agent or authorised representative of CLOUD NINE. 

5.6 Use Affiliate Codes other than for genuine referrals to new customers, including publishing, selling, sharing online, or distributing codes in bulk. 

5.7 Fail to comply with applicable consumer protection, advertising, trading or competition laws. 

6.1 Commission payments will be calculated, checked and verified by CLOUD NINE, 60 days after a purchase is made.  

6.2 Payment will be sent within 14 days from successful verification.  

6.3 Payments will come from MASTER DISTRIBUTOR LTD for UK commission payments and Cloud Nine ANZ PTY Ltd for AU  

6.4 All payments will be made via PayPal. Affiliates are solely responsible for ensuring their PayPal details are entered correctly and are kept up to date for the purpose of receiving payment. CLOUD NINE may be unable to issue or may withhold payments if this information is incorrect or incomplete. 

6.5 Any transactions that are refunded, cancelled or deemed fraudulent will not be eligible for commission.  

6.6 The discount offered to end users is strictly applicable to purchases of electrical items only ( minimum order value of £149 shall apply). Accordingly, Affiliate commission shall be payable exclusively on qualifying transactions. 

6.7 No commission shall be payable in respect of purchases of any other product category. 

6.8 Affiliates are solely responsible for declaring and paying income tax, national insurance contributions or VAT arising from commission payments. 

6.9 All commission payments are exclusive of VAT. Where an Affiliate is VAT registered, VAT shall be payable in addition upon receipt of a valid VAT invoice. 

6.10 Only one discount code can be used by an end user per order. If a different discount code is used, no Affiliate commission will be awarded 

6.11 Any unpaid commission must be notified by the Affiliate to CLOUD NINE immediately. 

6.12 Any unpaid commission notified to CLOUD NINE within 12 months of the underpayment will be rectified once verified.  Any underpayment notified after 12 months will not be payable.  

7.1 This agreement will commence on the effective date and continue until it is terminated. 

7.2 Either party may terminate this agreement at any time. 

7.3 CLOUD NINE may immediately terminate an Affiliates participation if a breach of the T&Cs is identified at any time. 

7.4 Upon termination, the Affiliate must immediately cease distributing Affiliate Codes and must not encourage or facilitate further use of any previously issued discount cards 

7.5 Commission shall only be payable in respect of Qualifying Orders placed prior to termination and successfully verified in accordance with these Terms. 

8.1 CLOUD NINE reserves the right to modify, amend or update these terms and conditions at any time without prior notice. Any changes shall become effective immediately. 

9.1 Nothing in these Terms limits or excludes liability for fraud, death or personal injury caused by negligence. 

9.2 Subject to the foregoing, CLOUD NINE shall not be liable for any indirect, consequential or economic loss arising in connection with the Scheme, including loss of profits, revenue or goodwill. 

These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction.
